Terms and Conditions

Effective date: January 1, 2026

These Terms and Conditions ("Terms") govern your use of ycellbiousa.com (the "Site") and your purchase of products from Ycellbio Medical ("Ycellbio," "we," "us," or "our"). Please read them carefully.

1. Acceptance of Terms

By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy, published on this Site. If you are accepting these Terms on behalf of a medical practice, clinic, or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If you do not agree to these Terms, do not use the Site or purchase our products.

2. Eligibility and Professional Use Only

Products offered on the Site, including platelet-rich plasma (PRP) and biologics kits, devices, and related medical supplies, are intended for use only by, or under the direction of, licensed healthcare professionals acting within the scope of their licensure. By placing an order, you represent that you are such a professional, or are purchasing on behalf of one, and that you will use, store, and dispose of products in accordance with their labeling, instructions for use, and all applicable laws and professional standards. We may request proof of licensure or professional status and may decline or cancel any order at our discretion.

Products are not intended for sale to or use by consumers for self-treatment.

Information on the Site is provided for general product information only. It is not medical advice and is not a substitute for the independent clinical judgment of a qualified healthcare professional. Decisions about patient selection, treatment, and outcomes are solely the responsibility of the treating professional.

You are responsible for determining and confirming the regulatory status of each product for your intended use, and for complying with all federal, state, and local laws, regulations, and licensing requirements that apply to your purchase, possession, and use of our products. Nothing on the Site states or implies that any product has been approved or cleared by the U.S. Food and Drug Administration for any particular use unless that specific approval or clearance is expressly stated in the product's official labeling.

3. Accounts and Ordering

You may need to create an account to place orders. You agree to provide accurate, current, and complete information, to keep it updated, and to keep your login credentials confidential. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.

Orders are placed through the Site's checkout or by other methods we accept. Each order is an offer by you to purchase the listed products under these Terms.

4. Pricing and Payment

Prices are listed in U.S. dollars and are subject to change without notice. Prices in effect at the time you place your order apply to that order, except in the case of obvious errors described in Section 9. Applicable sales, use, or similar taxes and shipping charges are added at checkout unless stated otherwise.

Payment is due at the time of order using a payment method accepted at checkout, unless we have agreed to other written terms with you. You authorize us and our payment processors to charge your selected payment method for the full order amount. Promotional codes and discounts are subject to their stated terms, may be limited in time, and may be changed or withdrawn at any time.

5. Order Acceptance and Cancellation

An order confirmation email confirms that we received your order; it does not mean we have accepted it. We accept an order when we ship it. We may refuse, limit, or cancel any order, including for suspected unauthorized or fraudulent activity, inability to verify professional eligibility, product unavailability, or pricing or descriptive errors. If we cancel an order after you have been charged, we will refund the amount charged for the canceled items.

You may cancel an order by contacting us before it ships, and we will refund the full amount charged for the canceled order. Once an order has shipped, it can no longer be canceled, and Section 8 (Returns and Refunds) applies.

6. Shipping, Title, and Risk of Loss

We ship to the destinations and with the carriers and service levels offered at checkout. Delivery dates are estimates and are not guaranteed; we are not liable for delays caused by carriers, weather, or other events outside our control.

Title to and risk of loss of products pass to you when we deliver the products to the carrier. You are responsible for providing a complete and accurate shipping address and for arranging for someone to receive the shipment.

7. Inspection on Receipt

Please inspect every shipment promptly upon receipt. If a shipment arrives damaged or a sterile package appears compromised, or if you received the wrong item, do not use the affected product and notify us within 7 days after delivery with your order number, a description of the issue, and photographs of the product and packaging.

8. Returns and Refunds

Unopened products in their original, sealed, undamaged packaging may be returned for a refund within 30 days after delivery. Because of the nature of sterile products, opened products, or products whose sterile packaging has been opened or compromised, cannot be returned, and those sales are final.

To arrange a return, please contact us first with your order number.

9. Product Information Accuracy

We try to describe and display our products accurately, but we do not warrant that product descriptions, images, specifications, pricing, or other content on the Site are complete, current, or free of errors. Product labeling and instructions for use supplied with the product control over any description on the Site. We reserve the right to correct errors, update information, and cancel orders affected by an error at any time, including after an order has been submitted.

10. Intellectual Property

The Site and its content, including text, graphics, logos, images, product names, and software, are owned by or licensed to Ycellbio and are protected by trademark, copyright, and other intellectual property laws. You may view and print content for your own internal, non-commercial use in connection with purchasing our products. You may not copy, reproduce, modify, distribute, republish, or create derivative works from the Site or its content, or use our trademarks, without our prior written permission.

11. Disclaimer of Warranties

Except for any express written warranty provided with a specific product, the Site and all products are provided "as is" and "as available." To the fullest extent permitted by law, Ycellbio disclaims all other warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant any particular clinical result from the use of any product. We do not warrant that the Site will be uninterrupted, secure, or free of errors or harmful components.

12. Limitation of Liability

To the fullest extent permitted by law, Ycellbio and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or relating to the Site, these Terms, or any product, whether based on contract, tort (including negligence), strict liability, or any other theory, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site, these Terms, or any product will not exceed the amount you paid for the specific product giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Ycellbio and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use, handling, storage, or administration of any product, including any patient treatment; (b) your breach of these Terms; or (c) your violation of any law, regulation, or third-party right.

14. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them, the Site, or any product are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You agree that any such dispute will be brought exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of those courts. Before filing any claim, each party agrees to try in good faith to resolve the dispute informally by contacting the other.

15. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted on this page, as shown by the effective date above. Orders placed after a change are governed by the Terms in effect at that time. Your continued use of the Site after changes are posted means you accept the updated Terms.

16. General

These Terms, together with our Privacy Policy, published on this Site and any written agreement signed by both parties, are the entire agreement between you and Ycellbio about their subject matter. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent.
